UBA Group’s operating structure is organized around six strategic business groups (SBGs) and three strategic support functions (SSFs), informed by the need to reinforce its leadership in service delivery, relationship management and the execution of its strategy. In addition, the GMD/CEO is supported by the Group Executive Office consisting of the Strategy Office, the Corporate Transformation Office, the Chief of Staff and Advisers to the GMD/CEO.

The Strategic Business Groups:

UBA PLC Nigeria-North
UBA PLC Nigeria-North provides banking services to customers within Northern Nigeria and deepens the Bank’s penetration in this region. Specifically, this cluster provides wholesale, commercial, consumer and transactional banking services. It comprise the following SBUs – the Northern Regional Banks plus FCT Abuja; Prestige Bank; E-Solutions; Product Sales and Services; Wholesale Banking; Federal Public Sector & State Governments; Dedicated Chief Operating Officer; Dedicated Chief Finance Officer; and Expansion & Rollout Office.

UBA PLC Nigeria-South
Similar to UBA PLC Nigeria-North, this cluster provides wholesale, commercial, consumer and transactional banking services to target customers within the Southern part of Nigeria as well as continuously explore opportunities to deepen the bank’s penetration into the banking market in the region. Specifically, it consists of the following SBUs – all Regional Banks in Southern Nigeria, including Lagos; Prestige Bank; E-Solutions; Product Sales & Services; Energy Bank; Public Sector-South; Public Sector-Lagos & West; Corporate Bank; Corporate Lending; Dedicated Chief Operating Officer; Dedicated Chief Finance Officer; and Expansion & Rollout Office.

UBA Capital
UBA Capital provides investment banking, asset management, wealth management and merchant banking services with a scope of operations that covers Nigeria, the African continent and global financial centres where UBA Plc has a presence. It is made up of several subsidiary companies that straddle 3 continents of the World. They include UBA Asset Management; UBA Capital (Africa); UBA Capital (Europe); UBA Merchant Banking; UBA Stockbrokers; UBA Capital (Dubai); UBA Pension Custodians Limited; UBA Trustees Limited; UBA Registrars Limited; Global Investor Services; Wealth Management.

UBA International
UBA International was created to spearhead the Bank’s global expansion plans and continue to deepen the Group’s market penetration of the African continent and the global banking arena. Within the international business cluster, it provides wholesale, correspondent, commercial, consumer and transactional banking services to our target customers. In addition, it shall constantly explore business opportunities and deepen the group’s penetration into the banking market in the international arena. It consists of the following SBUs – UBA Europe, Middle East & North Africa (EMENA); UBA East & Southern Africa; UBA West & Central Africa; UBA New York; UBA Asia & Rest of the World; and Regional Wholesale Bank.

UBA Retail Financial Services
UBA Retail Financial Services is a new and unique service platform established to provide a wide range of financial services targeting non-bank customers across Africa, through non-branch channels such as direct sales agents, telemarketing, internet, consumer outlets, dealers, microfinance banks, etc. It consists of the following arms – Retail Financial Services; UBA Microfinance Limited; FXMart; Transfunds; Dedicated Chief Credit Officer; Dedicated Chief Finance Officer; Dedicated Chief Operating Officer; and Expansion & Rollout Office.

UBA Product & Segment Banking
UBA Global Products & Segment Banking is the directorate charged with the responsibility of actively developing market opportunities by designing and offering products, managing segments and service delivery channels, all aimed at serving the current and future needs of the Group’s customers. It will further develop new market opportunities by designing and offering superior value propositions to target customer segments. Key components of this directorate include – Products; Treasury & Investments; Marketing & Sales Support; Segment Banking; Direct Channels; Dedicated Chief Finance Officer; and Dedicated Chief Operating Officer.

 

The Strategic Support Functions:

The three Strategic Support Functions have responsibility for Group Shared Services that will enable the group exploit the benefits of scale and imbibe more rigorous discipline across business processes. This is designed to enable the delivery of superior operational efficiency, governance standards, controls and superlative customer service. The functions are:

Group Chief Operating Office
The Group Operations Office, headed by the Group Chief Operating Officer (GCOO), is responsible for ensuring efficient delivery of business infrastructure, operational controls and business oversight across UBA Group Shared Services, to improve overall efficiency and performance in line with group strategy. The following functional groups report to the GCOO – Group Resources (Human Resources and Corporate Services); Group Operations & Technology (Operations, Customer Service and Information Technology); UBA Properties; Group Brand Management & Communications (Brand Management, Corporate Communications and UBA Foundation); Group Regulatory Affairs.

Group Chief Finance Office
The Group Chief Finance Office (GCFO) is responsible for maintaining and managing systems and processes that promote the financial efficiency and financial integrity of the Group’s operations, including management information system (MIS), performance management, financial and regulatory reporting, financial control and cost management, corporate productivity enhancement, budgeting and associated imperatives. The key components of this directorate are – Balance Sheet Management; Performance Management and Productivity Enhancement; Financial Control; Accounts; Mergers & Acquisitions, Capital Allocation and Funding; Management Information System; Tax & Insurance; Investor Relations; Portfolio Investments; Regulatory Reporting; and Legal Advisory.

Group Chief Risk Office
The Group Chief Risk Office (GCRO) designs, maintains and manages systems and processes that continuously monitor risk and deliver regulatory compliance in all jurisdictions where UBA operates, ensuring that all risks are proactively identified and effectively managed across UBA Group. This directorate comprises the following components – Credit Office; Market Risk Management; Operational Risk Management; Credit Risk Management; Compliance & Financial Crimes; and IT Risk Management.

As a financial services organisation, UBA consists of several companies currently providing among themselves, a wide range of financial services’ solutions to its diverse clients.

The breadth of these offerings is reflected in the different businesses of the group, whose membership comprises the following:

UBA PLC – (the Bank) - West Africa’s largest bank and the flagship operation of the Group.

UBA Capital Africa – The investment banking arm covering the African market, it is already redefining the Nigerian debt capital market with a number of landmark transactions.
 
UBA Trustees Limited – Nigeria's premier trustee company, established in 1964. With aggregate value of transactions in excess of N500 billion, it is among the Top 2 corporate trustees in Nigeria.
 
UBA Pensions Custodian Limited – One of the licensed pension funds custodians, expected to provide a haven for the savings of Nigerian workers, it has a rapidly growing portfolio of assets in its custody in excess of N150 billion.

UBA Asset Management Limited – The largest asset management company in Nigeria with over N30 billion in funds under management.

UBA Private Equity Limited – Provides equity financing for small and medium scale enterprises with over N3Billion under management.

UBA Stockbrokers LimitedThe secondary market trading arm of the group that deals in equities and other fixed income securities in the capital market, it is among the Top 10 stockbroking firms in Nigeria.

UBA Registrars Limited With over 30 years’ experience in Share Register administration services in Nigeria, it emerged from the former UBA Global Markets Limited then engaged in the business of share registration, stock broking and issuing house. It was incorporated in March 2006 as a wholly owned subsidiary of UBA Plc and ranks #1 in Nigeria in terms of automation and innovation among corporate registrars.

UBA Retail Financial Services Limited –  A new arm of the group that focuses on serving non-customers through the use of new push and in-your-face strategies to cascade financial services to targeted audience. 

UBA Microfinance Bank Limited Nigeria’s first bank-owned microfinance bank licensed by the Central Bank of Nigeria, it represents UBA’s determination to partner the Nigerian Government in the pursuance of the Millennium Development Goals (MDGs) of poverty alleviation and rapid economic growth through the provision of financial services to the economically active poor, low income earners and financially disadvantaged people currently excluded from the formal finance sector.

UBA Capital Europe A London-based investment banking and asset management affiliate of UBA that emerged from UBA’s substantial equity investment in Afrinvest London Limited and a subsequent rebranding. It has a renowned tradition of specializing in the issuance/distribution into Europe, of primary and secondary securities of African issuers as well as the provision of specialist research and investment advice to London-based institutions interested in African markets.

UBA FXMart (Bureau De Change) Limited The subsidiary focused on providing currency exchange, travel allowances and local/international remittance services through non-bank channels.

UBA New York Regulated by the Office of the Comptroller of the Currency, is a member of the United States Federal Reserve System. Its balance sheet size is in excess of US$1.3 billion.

UBA Ghana Limited – The first Nigerian bank to obtain banking license to operate in Ghana and now operates from 7 branches (with a balance sheet size in excess of Cedi 360 billion.)

UBA Cameroon S.A. This country operation represents our first operation in Central Africa and the first Nigerian bank in the sub-region, commencing operations in the last quarter of 2007. It currently has 5 business offices and it is focused on broadening the banking options available and in the process, raise the bar of service delivery in the Cameroonian banking sector. It is also a licensed investment services provider in Cameroon.

UBA Uganda Limited Represents our first country operation in the East and Southern African sub-region that promises to expand the retail space in Uganda by delivering the unique financial products and solutions of UBA as an African brand.

UBA Sierra Leone – Got its In-Principle Approval towards the end of 2007 and is poised to unbundle the full breadth of UBA's banking services and much more into the Sierra Leonean financial services space.

UBA Liberia Seeks to make financial services accessible to and affordable by every Liberian, irrespective of socio-economic status while contributing to the economic development of Liberia.

UBA Metropolitan Life Insurance Company Limited A joint venture between Africa’s largest insurer (Metropolitan Holdings of South Africa) and Africa’s global bank (UBA), operating in Nigeria with the combination of the risk management expertise and corporate governance standards of the one with the network and knowledge of the local Nigerian market of the other.
